Terms of Service

Preamble and Important Notice

This Terms of Service agreement (hereinafter "Agreement") is entered into by:

  1. Senyan Business HK Co., Limited (hereinafter "SenyanBiz" or "we"), a limited company duly registered under the laws of the Hong Kong Special Administrative Region of the People's Republic of China, responsible for technology research and development, system operation and maintenance, customer contracting, payment collection, invoice issuance, and customer support for the SenyanBiz AI Employee platform.

You (hereinafter "User" or "you"), as a registered user of this platform, enter into a contractual relationship with SenyanBiz. If you register to use this platform on behalf of an enterprise, organization, or other legal entity, "you" refers to that entity, and you represent and warrant that you have obtained full authorization from such entity to bind it to this Agreement.

Important Notice (Please Read Carefully):

The "AI Employees" provided by this platform are software service functional modules based on large language model and automation technologies. They are not natural persons or employees in the legal sense, and there is no labor, service, or employment relationship between them and SenyanBiz. All AI Employee outputs are algorithmically generated, for reference only, and do not constitute professional advice.

By registering, logging into, or using this platform, you acknowledge that you have fully read, understood, and agreed to be bound by all terms of this Agreement. If you do not agree to any term of this Agreement, please do not use this platform.

1. Definitions

  1. Platform: The SenyanBiz AI Employee platform, including desktop client, web client, and mobile applications.
  2. AI Employee: Digital employee services based on large language models provided by the platform, categorized by job type.
  3. Tenant: A user unit that registers and creates a company space; each tenant has an independent data isolation space.
  4. Template Marketplace: The collection of AI Employee job-type templates provided by the platform.
  5. Customer Input: All text, files, data, and other content you provide to the platform through conversations, uploads, settings, and other means.
  6. Output Content: Text, code, designs, proposals, suggestions, and other content automatically generated by AI Employees based on Customer Inputs and algorithms.
  7. IM Chat: Team instant messaging provided by the platform, supporting one-on-one or group chats between members, as well as conversations with AI Employees.
  8. Skill Marketplace: A marketplace for installing additional skills for AI Employees, including built-in skills and external tools connected via the MCP protocol.
  9. Connectors: Integration features connecting the platform with third-party services (such as Feishu, WeChat, GitHub, and 39 other platforms), supporting both shared (tenant-level) and personal (user-level) authorization modes.
  10. BYOLLM: The feature allowing users to configure their own third-party large language model API keys. When enabled, data is sent directly to the user-specified model provider.
  11. Device Information: Information that can identify or relate to the terminal device you use, including but not limited to device unique identifier (Device ID), device model and operating system version, IP address, browser type, and User-Agent.
  12. Encrypted Asset Bundle: The encrypted service asset data bundled with the desktop client (including AI Employee job-type templates, Soul definitions, permission configurations, etc.), which can only be used after online activation and receipt of the decryption key.

You undertake not to use this platform for the following purposes:

The following scenarios involve significant personal, property, or legal interests; relying solely on AI outputs may cause serious consequences. In such scenarios, you must:

You understand and agree: SenyanBiz shall not be liable for any consequences arising from your failure to comply with the above notification obligations.

3.3 Third-Party Platform Integration Rules

The third-party platform integration features provided by this platform (including but not limited to Feishu, WeChat, DingTalk, WeCom, Douyin, Xiaohongshu, GitHub, Notion, and 34 other platforms, totaling 42 platforms) adhere to the following principles:

  1. Official API Integration Only: All platform integrations are implemented exclusively through the official open APIs (Application Programming Interfaces) provided by each platform. We do not and do not permit connection to platforms through unofficial means such as simulated login, headless browsers, automation scripts, or crawlers.
  2. User Bears Compliance Responsibility: When using third-party platform integration features, you shall independently read and comply with the terms of service and developer policies of such third-party platforms. Consequences including account suspension, feature restrictions, and legal disputes arising from violation of third-party platform terms shall be borne by you.
  3. API Permission Minimization: This platform only requests the minimum scope of permissions necessary to accomplish tasks (e.g., content publishing, data reading) and will not request permissions beyond a reasonable scope.
  4. Credential Security: Your third-party platform authorization credentials (Access Tokens, etc.) are stored in encrypted form; the platform will not use your credentials for any purpose beyond the agreed scope.
  5. Prohibition of Abuse: You shall not use the platform's integration features for high-frequency requests, content bombing, fake data generation, or other abusive conduct against third-party platforms. Upon discovery, we reserve the right to immediately disconnect the relevant integration and suspend your account.

3.4 Handling of Violations

If we discover conduct violating the above provisions, we reserve the right to:

3.5 Anti-Theft and Anomaly Detection Mechanism (Important)

To protect the platform's intellectual property and service security, we employ technical measures including device identification, registration frequency monitoring, anomalous access monitoring, and asset integrity verification, to detect and handle suspected theft and abuse.

The following situations constitute high-risk conduct. We reserve the right, upon reasonable determination and without further notice, to impose a ban (denial of login) on the relevant account and all its associated tenants, and to deny refunds where applicable:

For medium-risk situations such as abnormal device counts or a single device associated with multiple accounts, we will first flag them for manual review; where the review confirms a risk or anomaly, we also reserve the right to take the above measures.

Once an account is banned, the login credentials on all of that account's devices become immediately invalid.

4. AI Employee Service Description (Important)

4.1 Tool Nature Declaration

AI Employees are software functional modules, not natural persons or employees in the legal sense. There is no labor, service, or employment relationship between them and SenyanBiz. All output content is algorithmically generated and does not represent the opinions, advice, or commitments of SenyanBiz.

4.2 No Professional Qualification Declaration

Although certain AI Employee job types may relate to medical, legal, financial, investment, and other fields, they only provide general model-based analysis and suggestions. They do not constitute professional medical advice, legal opinions, investment advice, or a substitute for the judgment of licensed professionals. You should consult qualified professionals before adopting such outputs.

4.3 No Warranty of Output Accuracy

AI technology has inherent flaws; output content may contain errors, omissions, biases, or "hallucinations." We make no express or implied warranties regarding the accuracy, completeness, timeliness, or usability of any output. You shall independently verify all critical information and data, and independently judge its applicability. Any decisions or actions you take in reliance on output content are at your own risk.

4.4 Auxiliary Nature of Self-Driven Proposals

The "Self-Driven Proposals" feature is automatically triggered by AI Employees based on their analysis and is advisory in nature only.

You understand and agree that:

4.5 Technical Limitations

You understand and agree that AI technology has inherent limitations, including but not limited to:

This platform supports users configuring their own third-party large language model API keys (BYOLLM feature). When this feature is enabled:

This platform supports connecting to external tool services via the MCP protocol (Model Context Protocol), as well as installing third-party developed plugins and skills (Skills).

4.8 IM Chat Feature

This platform provides team instant messaging (IM) functionality, supporting one-on-one or group chats between members and conversations with AI Employees. You understand and agree that:

4.9 AI Content Labeling

To comply with labeling requirements for AI-generated content and to support content provenance and anti-resale tracing, documents, reports, and other AI-generated content exported from the platform may contain an invisible source identifier (invisible fingerprint). This identifier records tenant-origin information, does not alter the content itself, and does not affect your normal viewing or use. You must not strip, tamper with, or forge this source identifier by technical means.

5. Payment and Subscription

7. Intellectual Property

7.1 Platform Intellectual Property

All ownership and intellectual property rights in the SenyanBiz platform (including but not limited to software code, interface design, trademarks, logos) are owned by Senyan Business HK Co., Limited.

7.2 Ownership of Customer Inputs

The intellectual property rights in files, data, and information you upload to the platform belong to you.

7.3 License Grant to Us

To provide services to you, you grant SenyanBiz a worldwide, non-exclusive, royalty-free license to:

The above license terminates upon service termination, except for anonymized statistical information and data required to be retained by law.

7.4 Ownership of AI Outputs

7.5 Non-Exclusivity of Outputs

Due to the non-deterministic nature of algorithms, different customers may obtain identical or similar outputs from similar inputs. For example, two users separately giving similar instructions to a "Marketing Expert" AI Employee to "write a social media promotion copy" may receive structurally similar but not identical outputs. The rights you obtain under this Agreement do not constitute exclusive rights to the output content, and you may not assert exclusivity or monopoly against us or any third party on this basis.

7.6 Feedback

Any suggestions or improvement ideas you provide regarding the platform may be freely used by us without any obligation of compensation or confidentiality to you.

8. Privacy Protection

Your personal information is protected in accordance with our Privacy Policy. The Privacy Policy is an integral part of this Agreement and has the same legal effect as this Agreement.

We solemnly commit: Any Customer Inputs and AI-generated Outputs you provide during use of the platform will not be used to train, fine-tune, or improve our underlying large language models or any other machine learning models.

9. Disclaimers and Limitation of Liability (Important)

9.1 "As-Is" Provision of Services

The platform is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by applicable law, we disclaim all express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy or completeness of any information obtained through the platform.

9.2 Third-Party Services and External Model Disclaimer

Part of the platform's AI capabilities relies on third-party large language model API providers. We shall not be liable for service disruptions, output errors, model capability changes, or other uncontrollable factors affecting service from such providers, but we will make commercially reasonable efforts to switch or restore service. You shall also comply with the usage policies of the relevant model providers.

9.3 Exclusion of Indirect Damages

In no event shall SenyanBiz be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, loss of goodwill, or business interruption, regardless of the legal theory upon which such damages are based, even if we have been advised of the possibility of such damages.

9.4 Limitation of Liability

To the maximum extent permitted by applicable law, SenyanBiz's aggregate liability for any claims under this Agreement shall be capped at the amount of fees you have paid for the specific AI Employee giving rise to the claim in the 12 months preceding the claim.

The above liability cap does not apply to:

If you are an enterprise user and wish to obtain a higher liability cap, please contact us to purchase a commercial insurance upgrade plan.

10. Suspension and Termination

10.1 You may stop using the services at any time; refunds are handled in accordance with the refund rules in Section 6.

10.2 If we have reasonable grounds to believe you have violated this Agreement or applicable laws and regulations, we reserve the right to take the following measures, based on the severity of the violation:

Before taking the above measures, we will notify you 24 hours in advance where reasonably practicable (except in emergency security situations). However, please understand that we may take immediate action without prior notice for certain serious violations (such as criminal conduct).

The "Account Termination" measure above includes a ban (denial of login). When a ban is imposed, your account and all its associated tenants will be prohibited from use, and the login credentials on all of the account's devices become immediately invalid. For bans arising from theft of or abuse of the platform's services (see Section 3.5), fees already paid will not be refunded.

In the event of termination due to violation, fees already paid will not be refunded; in the event of a security emergency, we reserve the right to pursue corresponding legal liability against you.

10.3 After termination, we will delete or anonymize your data within 30 days, unless otherwise required by law or to address potential legal claims.

11. Confidential Information

Both parties shall maintain the confidentiality of non-public information of the other party ("Confidential Information") obtained in the course of service. Confidential Information does not include information that is publicly available, already lawfully possessed, or independently developed. The receiving party may only use Confidential Information for the purpose of performing this Agreement and shall, upon the disclosing party's request, return or destroy it after termination of this Agreement.

12. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated through:

Continued use of the platform constitutes your acceptance of the updated Agreement. If you do not agree to the changes, please discontinue use of the platform and apply for a refund in accordance with the refund rules.

13. Governing Law and Dispute Resolution

13.1 Governing Law

In the event of conflict with mandatory legal provisions of your jurisdiction that cannot be excluded by agreement, the mandatory legal provisions shall prevail.

13.2 Dispute Resolution

Any dispute arising from this Agreement shall be resolved in the following order:

  1. Amicable Negotiation: Within 30 days of the dispute arising, the parties shall resolve it through amicable negotiation;
  2. Mediation: If negotiation fails, the dispute may be submitted to the Hong Kong International Arbitration Centre (HKIAC) for mediation;
  3. Litigation: If mediation fails, you may bring a lawsuit in the courts of the Hong Kong Special Administrative Region.

13.3 Complaints and Reports

If you believe we have violated laws, regulations, or this Agreement, you may file a complaint through the following channels:

14. Miscellaneous

14.1 If any provision of this Agreement is held invalid or unenforceable, such provision shall be interpreted in the manner closest to the original intent of the parties, and the remaining provisions shall continue in full force and effect.

14.2 This Agreement constitutes the entire agreement between the parties regarding the use of this platform and supersedes all prior oral or written agreements.
